The stock's shaky start underscored his concerns, he said Thursday morning.
"Once again the Dutch auction concept failed to live up to its self-described mantra as being a better conduit in the pricing of an IPO by the investors than the standard method of pricing by the underwriters," Sweet said. "In past Dutch auction deals, and it appears the same in this case, investors put in overzealous high bids to 'beat' others in a scramble to get shares. In doing so, it is highly likely that it has greatly diminished the IPO's performance and highly overvalued the company."
He said the "early big winner" in the process is NetSuite, and the "losers" are investors who "are left questioning why they put in bids that were unrealistic."
NetSuite CEO Zach Nelson said his team saw the auction as a way to set a fair price.
"It's usually hard to argue with markets," he said Thursday after trading began. "So when the market speaks we listen to it. It was a market-driven process, a very democratic process."
Analysts say NetSuite's IPO highlights the rapidly growing on-demand software market, made popular by Salesforce.com (CRM).
The company's debut also attracted much attention because its biggest investor had been Oracle Corp.
